ON YOUR SIDE
- Entity formation, structuring, maintenance and corporate governance matters (for corporations, limited liability companies, partnerships, and other entity types);
- Commercial transactions and business contracts, including Vendor and Supplier Agreements, Master Service Agreements (MSAs), Sales Agreements (including Bills of Sale), Joint Venture Agreements, Rental and Equipment Lease Agreements, and other general business contracts;
- Corporate, investment and company agreements, including Shareholder Agreements, Partnership Agreements, Limited Liability Company Agreements, Investor Rights Agreements, Voting Agreements, Registration Rights Agreements, Operating Agreements, Buy/Sell Agreements, Employment and Consulting Agreements, Equity Incentive Compensation Plans and Agreements, and Confidentiality and Inventions Agreements;
- Acting as “out-sourced general counsel” for companies, by handling ongoing general corporate legal matters and coordinating on their behalf with the client’s other counsel, tax advisors, accountants, and internal departments; and
